- 0:00Today's tech news moves fast, but understanding
- 0:03it shouldn't be hard. That's why Snarful Solutions
- 0:06Group brings you Connecting the Dots, where we
- 0:09break down what's happening in tech and why it
- 0:11matters to you. Now, let's dive in with your
- 0:14hosts. Welcome to Connecting the Dots from Snarful
- 0:18Solutions Group here in Sacramento. It's Wednesday,
- 0:20December 17th, 2025. Happy Wednesday and it's
- 0:25a bit of a dreary one here in Sacramento. We've
- 0:27got showers some patchy fog But looks like it'll
- 0:30clear up to partly sunny with a high of 61. Yeah
- 0:33pretty standard for us But our thoughts are with
- 0:36folks elsewhere a really powerful storm hitting
- 0:39from the northern Rockies to the plains We're
- 0:42seeing dangerous winds 50 to 70 miles per hour
- 0:45and even some critical fire weather in Eastern,
- 0:47Colorado So a lot going on nationally a lot indeed
- 0:50now quick check on the markets from yesterday's
- 0:52close Sure, you know, things were mostly quiet
- 0:54on the surface. The Dow slipped about half a
- 0:56percent, closing at 48 ,114, still holding a
- 1:01small gain for the week, though. The S &P 500
- 1:03was basically flat, no movement there. And Bitcoin
- 1:05is just holding steady around 87, 786, down just
- 1:08a tiny fraction. So the big indices are calm,
- 1:11but that really hides the the massive deals happening
- 1:14underneath. That's what we're getting into today
- 1:16in our Morningstar report. We're talking huge
- 1:19infrastructure bets and some serious Hollywood
- 1:22drama. Absolutely. But first, we want to give
- 1:24a shout out to our sponsor, Old Glory. Look,
- 1:27if you need a great holiday gift, especially
- 1:29for a techie friend or, you know, anyone who
- 1:31loves music and sports merch, they're fantastic.
- 1:34Really iconic stuff. It is. And as a listener,
- 1:37you get 15 percent off your entire purse. Just
- 1:40use the promo code SNARFL. That's S -N -A -R
- 1:43-F -U -L at checkout. Go to OldGlory .com. Great
- 1:46way to get that shopping done. Okay, so let's
- 1:49start with this first story. I call it the AI
- 1:51Infrastructure Gold Rush, and it's all about
- 1:54a company called Hut8. Right, Hut8, the Bitcoin
- 1:56mining company. Ticker H -E -S -U -T -T. And
- 1:59their stock just exploded. It soared over 20%.
- 2:02Yeah. And it was on the news of this just colossal
- 2:05deal, a 15 -year lease with an AI infrastructure
- 2:08firm, Fluidstack. And when you say colossal,
- 2:10the numbers are, well, they're kind of staggering.
- 2:13They really are. The deal is valued at $7 billion.
- 2:18That's for 245 megawatts of IT capacity at their
- 2:22campus down in Louisiana. And that's just the
- 2:24start, right? There's a potential expansion.
- 2:25Oh, yeah. It could expand by another 1 ,000 megawatts,
- 2:28if that happens. And with renewals, the total
- 2:31value could jump to $17 .7 billion. Wow. OK,
- 2:35so this is why we've seen crypto miners trying
- 2:37to pivot. They have the infrastructure, but this
- 2:40is a pivot on a whole other level. It's a complete
- 2:42transformation, and that's why investors loved
- 2:44it. Hut 8 is expecting to generate, get this,
- 2:47$6 .9 billion in cumulative net operating income.
- 2:50$6 .9 billion. Yeah. That works out to a very
- 2:53steady $454 million a year. So they go from being
- 2:57this speculative, volatile crypto company to
- 3:00basically being a utility, a high -demand landlord
- 3:02for AI processing. But there's a missing piece
- 3:04here, the dot we have to connect that makes this
- 3:06whole thing solid. The guarantee. The guarantee.
- 3:09It's from Google. Alphabet subsidiary is providing
- 3:11a financial backstop. for the entire 15 -year
- 3:15lease. And that is the absolute linchpin. It
- 3:18takes almost all the risk off the table for HUD
- 3:208. I mean, when Google steps in and says, we'll
- 3:23back these multi -billion dollar payments, it
- 3:25just signals where the real giants are placing
- 3:27their bets. It says the demand for AI compute
- 3:29power is real, and it's here to stay for the
- 3:32long haul. Exactly. And you can see the real
- 3:34world impact of this. In Louisiana, this could
- 3:36be one of the state's largest private capital
- 3:39projects ever. The sources mentioned a thousand
- 3:42jobs during construction and then at least seventy
- 3:45five permanent operational jobs. That's a huge
- 3:48for West Feliciano Parish. It really is. It feels
- 3:50like the new oil isn't crypto anymore. It's AI
- 3:53processing, and the money is just flooding toward
- 3:55anyone who can provide reliable power for it.
- 3:58A really powerful shift. OK, so from physical
- 4:00infrastructure, let's pivot to the dream factories
- 4:03in Hollywood, where the battle for control is,
- 4:07well, maybe even more dramatic. Oh, definitely
- 4:09more dramatic. We're talking about the cage match
- 4:10between Warner Bros, Discovery, WBD, and Paramount
- 4:13Skydance, or PSKY. And the big news is that the
- 4:17WBD board has unanimously and very publicly rejected
- 4:21Paramount's unsolicited bid. Yeah, a $30 per
- 4:24share all cash hostile bid. They said no. And
- 4:27here's the fascinating part. They're sticking
- 4:30with a lower offer from Netflix. That one's valued
- 4:33at $27 .75 per share, and it's a mix of cash
- 4:37and stock. So they're turning down more cash.
- 4:40And to understand that, you really have to dig
- 4:41into the structure of the two deals. They're
- 4:43fundamentally different. OK, break that down.
- 4:45So the Paramount Skydance bid, the PSKY one,
- 4:49wants everything. The whole empire. The studio,
- 4:52HBO, HBO Max, plus all the cable networks like
- 4:55CNN and TNT. They want to build an old school
- 4:58integrated media giant. Precisely. The Netflix
- 5:01bid, on the other hand, is more like surgery.
- 5:03It only wants the high growth parts, the Studio,
- 5:06HBO, and HBO Max. And what happens to the cable
- 5:09networks? They'd be spun off into a whole new
- 5:11company, what they're calling Discovery Global.
- 5:13So it lets WBD clean up its structure and focus
- 5:15on streaming. Right, which explains why the WBD
- 5:18board used such strong language. They called
- 5:20the Paramount offer illusory. You don't hear
- 5:23that word in a corporate filing every day. No,
- 5:25you don't. And they backed it up with three huge
- 5:28red flags. The first one was financing certainty.
- 5:31Or the lack thereof. Exactly. PSKY's $40 billion
- 5:35equity commitment, it relies on, and this is
- 5:38a quote, an unknown and opaque revocable trust
- 5:41from the Ellison family. So the Ellison family
- 5:44of Oracle fame. Yeah. But opaque and revocable
- 5:47are two very scary words when you're talking
- 5:49about $40 billion. They are. Revocable means
- 5:52the funding could you know, just disappear halfway
- 5:55through the regulatory process. It's not a secured
- 5:57commitment from a bank. It's conditional. That's
- 6:00a massive risk for WBD. Okay. So that's red flag.
- 6:03Number one, what's number two credit risk. I
- 6:05mean, look, KSKY is a much smaller company, only
- 6:07a $15 billion market cap. It's credit rating
- 6:10is basically junk status. Their debt is already
- 6:13at 6 .8 times their earnings. That's a really
- 6:16high leverage ratio. The combined company would
- 6:19be extremely vulnerable to any kind of economic
- 6:21downturn, which leads right into the. The third
- 6:23red flag, the hidden cost if this all falls apart.
- 6:26Yes, this is the kicker. If the Paramount deal
- 6:29fails for any reason, WBD shareholders are left
- 6:33holding the bag for $4 .3 billion. $4 .3 billion,
- 6:38how does that break down? Okay, so there's a
- 6:40$2 .8 billion reverse breakup fee they would
- 6:43owe to Netflix for walking away from their deal.
- 6:45Right, that's like a penalty payment. It is,
- 6:48plus another $1 .5 billion in debt financing
- 6:50costs they'd have racked up. And Paramount never
- 6:52offered to cover any of that. For WBD shareholders,
- 6:56that's a loss of $1 .66 per share. So when you
- 6:59frame it like that... Turning down the higher
- 7:01cash offer makes perfect sense. You have one
- 7:03deal that's a risky leveraged buyout that could
- 7:06implode and cost you billions. Right. And the
- 7:08other is from a stable partner like Netflix with
- 7:10a $400 billion market cap and an investment grade
- 7:14balance sheet. And Netflix is putting its money
- 7:16where its mouth is. They're committing to a record
- 7:18setting $5 .8 billion regulatory termination
- 7:21fee. They're showing real confidence they can
- 7:22get this done. Plus, they've made promises about
- 7:25keeping WBD films in theaters, respecting that
- 7:28legacy. which is a smart PR move. It is. Which
- 7:32brings us to the final piece of this puzzle,
- 7:34the politics and the regulators. This is where
- 7:37it gets really messy. Paramount tried to argue
- 7:39they'd have an easier path to approval. Yeah,
- 7:41their argument was, hey, we're not a streaming
- 7:43giant like Netflix, so it's less of an antitrust
- 7:45issue. But WBD's board and most experts, frankly,
- 7:49said there's no material difference in the regulatory
- 7:52risk. Both deals face a long, long fight, probably
- 7:56into 2026. At least. And you have international
- 8:00bodies, like the European Commission, who are
- 8:02going to look very, very closely at a Netflix
- 8:04deal, arguing it would eliminate a major competitor
- 8:07in HBO Max. And the political side for Paramount
- 8:09has just, well, it's kind of backfired spectacularly,
- 8:12hasn't it? It really has. The Ellisons have touted
- 8:15their political connections, but then President
- 8:17Trump recently slammed the owners of CBS, which
- 8:20is part of Paramount's holdings. And right after
- 8:22that, Jared Kushner's firm, Affinity Partners,
- 8:25just pulled out of the bid entirely. Yep. So
- 8:27that political capital seems to be vanishing
- 8:29pretty quickly. But this is where the story pivots
- 8:32from just a boardroom fight to a national security
- 8:35issue. The CFIUS review. Explain that. Because
- 8:39this is a huge dot to connect. PSKY's funding
- 8:43includes $24 billion from three different Middle
- 8:48Eastern sovereign wealth funds. And that massive
- 8:50foreign investment immediately got the attention
- 8:53of lawmakers who urged WBD to seek a review from
- 8:57CFIUS, the Committee on Foreign Investment in
- 8:59the United States. So now we're talking about
- 9:02foreign influence over American media, over content.
- 9:05Exactly. Now, the funds claim they agreed to
- 9:08give up any governance rights, but CFIUS looks
- 9:11deeper than that. They look at what they call
- 9:13practical influence. access to information and
- 9:17leverage. Right. So even without a board seat,
- 9:19if you have access to sensitive strategic information,
- 9:23that can be seen as a national security concern.
- 9:25Absolutely. So the risk of the whole deal getting
- 9:27bogged down or even killed by a CFIUS investigation
- 9:30is very real. It just adds another massive layer
- 9:32of uncertainty. So what this all boils down to
- 9:34for you is that WBD's rejection wasn't just about
- 9:37the price per share. It was a choice for certainty
- 9:39and stability over a higher but much riskier
- 9:42cash offer. A very messy high stakes drama. Before
- 9:45we wrap up, a quick thank you to our other sponsor,

- 9:59Their website is scony .com. Okay, so to bring
- 10:02it all together today, first we saw Hut8 make
- 10:05that giant $7 billion leap from the speculative
- 10:08world of crypto into the much more reliable world
- 10:11of AI data centers. with Google's backing. And
- 10:14then we unpacked the very dramatic politically
- 10:17charged rejection of Paramount's bid by Warner
- 10:20Bros. Discovery. They chose the stable, structurally
- 10:23cleaner deal with Netflix despite a lower price
- 10:26tag. because of all the financial and regulatory
- 10:28risk. And, you know, the final thought here is
- 10:30that the conflict isn't just about who wins this
- 10:32one deal. It's really about the future of Hollywood.
- 10:34What do we want it to look like? Do you prefer
- 10:36a giant integrated company that owns everything
- 10:38from the studios to the cable networks? That's
- 10:41the Paramount vision. Or do you prefer a more
- 10:43focused streaming -first behemoth that spins
- 10:46off the old legacy assets to focus purely on
- 10:49digital, which is the Netflix vision? The shows
- 10:53and movies you get to watch in the future really
- 10:56depend on who wins this fight. It's something
- 10:58to think about. We're here to help at SNARFL,
