- 0:00Today's tech news moves fast, but understanding
- 0:03it shouldn't be hard. That's why Snarfl Solutions
- 0:06Group brings you Connecting the Dots, where we
- 0:09break down what's happening in tech and why it
- 0:11matters to you. Now, let's dive in with your
- 0:14hosts. Good morning, everyone. I'm Alex. And
- 0:17I'm Morgan. Welcome to Connecting the Dots. We
- 0:19are coming to you live from the Snarfl Solutions
- 0:21Group studios here in Sacramento. It is Thursday,
- 0:25January 22nd, 2026. And we are definitely pushing
- 0:30through the first month of the new year. We really
- 0:33are. And looking at the news this morning, it
- 0:35feels like we're living through about three months
- 0:37of headlines in a single day. It really does.
- 0:40Between the geopolitical shifts and, well, the
- 0:43literal weather shifts, there's a lot going on.
- 0:46We have to start with the weather because the
- 0:48map just looks wild today. Wild is, yeah, putting
- 0:52it mildly. If you're listening from the southern
- 0:53Rockies or the plains, you are right in the middle
- 0:56of it. We are watching a major long -duration
- 0:59winter storm, so this isn't just a quick dusting.
- 1:02No, this is a multi -hazard event. We're talking
- 1:04heavy snow, sleet, freezing rain, and it's stretching
- 1:08all the way into the Mid -South. And the duration
- 1:10is what makes it so dangerous. Yeah. It's just
- 1:13dragging. And it's spreading east. So by the
- 1:16weekend, this whole mess is going to be hitting
- 1:18the Mid -Atlantic and New England. But the real
- 1:21headline for me is what's coming in behind it.
- 1:23The Arctic front. Exactly. If you're in the northern
- 1:26plains or the upper Midwest, you really need
- 1:29to be prepared for some serious cold. We're talking
- 1:32dangerous wind chills, the kind of cold where
- 1:34you really have to check your pipes and check
- 1:36on your neighbors. Please take those warnings
- 1:38seriously. Meanwhile, here in Sacramento... It's
- 1:41a completely different story. Completely different
- 1:43world. We started the day with some incredibly
- 1:47dense fog. I actually had to crawl into the studio
- 1:49this morning, but it's burning off now. And we're
- 1:52looking at mostly sunny skies and a high of what,
- 1:5557 degrees? 57, yeah, a stark contrast. It really
- 1:58is. Now, despite all that weather chaos, The
- 2:01financial markets seem to be feeling pretty optimistic.
- 2:03They really do. It's looking like a green day
- 2:05across the board. The Dow Jones closed at 49
- 2:08,550 .35. That's up about 348 points or roughly
- 2:130 .71%. And the S &P 500 is following that lead
- 2:17though a little more cautiously. It closed at
- 2:206 ,922 .04, just taking up about 0 .11%. And
- 2:25for crypto watchers, Bitcoin is holding the line,
- 2:29hovering right around 89 ,493 hours. It's up
- 2:33slightly for the day. But if you zoom out to
- 2:36the weekly trend, it is still down a little bit.
- 2:38So steady seems to be the vibe. It does, which
- 2:41is surprising given the news we're about to get
- 2:43into. It really is. But before we get into the
- 2:46heavy hitting tech story of the day and it is
- 2:48a monster. We want to give a quick shout out
- 2:50to our friends over at Old Glory. Yes, we all
- 2:54have that one friend who is just impossible to
- 2:56shop for. Right. You know, the huge music buff
- 2:58who knows every B -side or the die -hard sports
- 3:01fan who already has the jersey. If you're struggling,
- 3:04you have to check out Old Glory. They have this
- 3:06incredible collection of iconic fan merch. I
- 3:09was scrolling through their site last night,
- 3:11and it's not just the standard stuff. It's curated.
- 3:14It really is. Whether it's rock and roll tees
- 3:16or, you know, niche sports gear, they have something
- 3:19for basically everyone. It's perfect for those
- 3:21techie friends who appreciate quality. And because
- 3:24you're listening, we have a hookup for you. Use
- 3:26the promo code SNARFL at checkout. And you can
- 3:29get 15 % off your entire purchase. Just check
- 3:32them out at OldGlory .com. You'll see what we
- 3:34mean. All right, let's shift gears. Usually on
- 3:36the show, we grab our Morningstar report. That's
- 3:38the Snarfle Tech article report. And we pick
- 3:41three different stories to break down. But today,
- 3:44the Morningstar is just completely dominated
- 3:47by one single event. It feels like we've been
- 3:49talking about this for years. It has been the
- 3:51will -they -won't -they drama of the tech world.
- 3:54It really has. So we're going to do a special
- 3:56edition today. We're going to break this one
- 3:58massive story down into three angles. The headline,
- 4:02the fine print. And the so what? Because today,
- 4:05Thursday, January 22 marks the end of the saga.
- 4:09Let's jump in. Angle number one, the headline,
- 4:13the saga ends today. OK, let's unpack this. For
- 4:16what feels like an eternity, there has been this
- 4:18looming ban over TikTok in the U .S. A source
- 4:21of anxiety for 170 million users, for creators,
- 4:26for businesses. Well, the anxiety is over. The
- 4:28U .S. and China have officially signed off on
- 4:30the deal to sell TikTok's U .S. business. And
- 4:33the timing here is just incredibly dramatic.
- 4:36The deal is set to close this week because today,
- 4:40January 22nd, was the absolute deadline. The
- 4:43deadline. The one set by the executive order.
- 4:45They basically waited until the clock was at
- 4:47zero before cutting the wire. Talk about cutting
- 4:49it close. I mean, it really shows how intense
- 4:52those negotiations must have been. But the headline
- 4:54is clear. The ban is prevented. The app is staying
- 4:59on your phone. But the big news isn't just that
- 5:01it's staying, it's how it's staying. It's all
- 5:04about who's buying it. Right. And it is a consortium
- 5:08of mostly US investors. And the heavy hitters
- 5:11leading the pack are two names we know very well.
- 5:15Oracle and Silverlake. That's a fascinating pairing.
- 5:18On one side, you've got Oracle, the infrastructure
- 5:20giants. They have deep ties to the government.
- 5:21They handle massive databases. And they've been
- 5:23the cloud partner for TikTok for a while now
- 5:25with that whole Project Texas thing. Exactly.
- 5:28And on the other side, you've got Silver Lake.
- 5:30These are the pros of private equity in tech.
- 5:33They don't just buy companies to hold them. They
- 5:35buy them to optimize them. They restructure Dell.
- 5:38They've been involved in so many massive turnarounds.
- 5:41So having them involved signals this isn't just
- 5:43a political fix. It's a serious business play.
- 5:46And it kind of removes the biggest sticking point
- 5:48in U .S.-China relations right now. This tension
- 5:51has been simmering for years. To finally see
- 5:53the ink drying is... Significant. It is. But,
- 5:57you know, headlines are easy. Oracle buys TikTok.
- 6:00That fits on a bumper sticker. Yeah. But when
- 6:02you look at the deal structure, it is infinitely
- 6:05more complex than that. Which brings us perfectly
- 6:07to our second angle, the fine print. Who actually
- 6:11owns what now? Right. Because it's not as simple
- 6:13as Oracle writing a check and getting the keys.
- 6:15They are forming a completely new entity. OK.
- 6:18It's going to be called TikTok, USDs, Joint Venture
- 6:22LLC. Joint Venture LLC. That, uh... That sounds
- 6:25like a legal compromise if I've ever heard one.
- 6:27It describes exactly what it is. Now let's look
- 6:29at the pie chart here, because this is where
- 6:30the real negotiation happened. There are three
- 6:33main slices. OK, lay it on me. Slice number one.
- 6:36Slice number one is the new investors. They're
- 6:39taking a 45 % stake in this new company. 45%.
- 6:43And this group includes Oracle and Silver Lake,
- 6:46which we mentioned. But there is another player
- 6:48here that really caught my eye. MGX. MGX. That's
- 6:52a name that kind of flies under the radar for
- 6:54most people. It does, but it shouldn't. MGX is
- 6:58a state -owned investment firm from the United
- 7:00Arab Emirates. But here's the critical detail.
- 7:03They're specifically focused on artificial intelligence.
- 7:06Now that is interesting. Why bring in a UAE AI
- 7:09firm for a social media app? Because TikTok is
- 7:12an AI product. The 4U feed isn't just a list
- 7:14of videos, it's one of the most sophisticated
- 7:17recommendation engines on the planet. Good point.
- 7:20So having MGX in the mix, Oracle, Silverlake,
- 7:22and MGX each get a 15 % stake, it suggests the
- 7:25investors see the future of this thing tied to
- 7:27AI development, not just ad sales. That adds
- 7:29a whole new layer to it. Okay, so that's the
- 7:3245 % new money. What about the rest? The next
- 7:34slice belongs to the existing investors. These
- 7:37are affiliates of the global investment firms
- 7:39that already put money into ByteDance years ago.
- 7:41Ah, okay. They're rolling over their equity to
- 7:44hold 30 .1 % of this new U .S. entity. So the
- 7:47people who funded the Chinese parent company
- 7:49originally are saying, we want to stay in the
- 7:51game with the U .S. version. Precisely. They
- 7:53are swapping their shares in the parent for shares
- 7:56in the child, essentially. Got it. So we have
- 7:5845 % new investors, 30 .1 % existing investors.
- 8:03That leaves doing some quick math. Just under
- 8:0720%. Exactly. ByteDance, the Chinese parent company,
- 8:11retains a 19 .9 % stake in the U .S. business.
- 8:1519 .9%. That feels like a very specifically engineered
- 8:18number. It absolutely is. In regulatory terms,
- 8:22staying under 20 % often keeps you in that minority
- 8:25shareholder bracket. It satisfies the optics
- 8:27that China no longer has control. So when you
- 8:30add it all up? The new investors plus the existing
- 8:32global investors control just over 80 % of the
- 8:34U .S. assets. Bydance is very much the junior
- 8:37partner here. And are there any other big names
- 8:39in that investor pool? There are a few interesting
- 8:42ones. We're seeing participation from Susquehanna
- 8:44and Dragon Air. But one that stood out to me
- 8:46is DFO. DFO. That's Michael Dull's family office.
- 8:50OK, so let's pause there. A family office. What
- 8:53does that actually mean for our listeners? How
- 8:56is that different from a regular investment firm?
- 8:58It's basically a private wealth management firm
- 9:01for one ultra high net worth family. It's their
- 9:04personal money, not a fundraise from other people.
- 9:07So that's Michael Dell himself putting his personal
- 9:09stamp on this. Yes, alongside Silver Lake, who
- 9:11helped him take Dell private years ago. It's
- 9:13a very tight circle of American tech royalty.
- 9:16That is a lot of heavy hitters. So the big question,
- 9:19what is this whole thing actually worth? That
- 9:22is the multi -billion dollar question, isn't
- 9:24it? The official price tag is still a bit murky.
- 9:27They haven't released the final numbers. But
- 9:29there are estimates. There are. Back in September,
- 9:32U .S. Vice President J .D. Vance estimated the
- 9:34unit's value at roughly $14 billion. $14 billion
- 9:37for a platform with 170 million users. Some analysts
- 9:42would call that a fire sale. Really? I mean,
- 9:43if you look at the revenue per user, the engagement
- 9:46time, people spend more time on TikTok than almost
- 9:49anything else. $14 billion is arguably a steal.
- 9:52But they're not just buying the revenue. They're
- 9:54buying the political baggage. Exactly. It's a
- 9:56fixer -upper. But the fix involves national security.
- 9:59Which leads us to our third angle the so what
- 10:03what does this mean for security for politics
- 10:06and? The algorithm because at the end of the
- 10:09day this was a national security mandate Not
- 10:11just a business deal correct the new entity that
- 10:14tick -tock usds joint venture LLC It has a specific
- 10:18mission it is going to be an independent entity
- 10:21that controls data protection content moderation
- 10:23and algorithm security And how do we know it's
- 10:26actually independent? What's the mechanism it
- 10:28comes down to governance? The company will have
- 10:30a new seven -member board of directors. Okay.
- 10:32And the requirement that made this deal pass
- 10:35muster is that the majority of that board must
- 10:37be Americans. So American board, American majority
- 10:40ownership, that checks the boxes for the government.
- 10:43It's about control. It is. But there is one giant
- 10:47mystery left in all of this. One black box that
- 10:50we still haven't gotten a look inside. Let me
- 10:52guess. The algorithm. The algorithm. That 4U
- 10:57page magic that keeps everyone scrolling. It
- 10:59was the main point of contention between the
- 11:01US and China. Right, because China basically
- 11:04classified recommendation algorithms as a national
- 11:07security asset of their own. Yes. They updated
- 11:10their export control laws. They essentially said,
- 11:13you can sell the car, but you can't sell the
- 11:15engine design. That is the perfect analogy. And
- 11:18what's fascinating here is... We don't know how
- 11:21that was resolved. The source material explicitly
- 11:24says it's unclear what specific negotiations
- 11:27happened regarding the algorithm, even as the
- 11:30deal is closing. That's wild. So the deal is
- 11:32done, papers are signed, but we don't know if
- 11:34the code itself was transferred or if it's just
- 11:36being licensed. It's the biggest question mark.
- 11:39If it's a licensing deal, that means the engine
- 11:41is still technically Chinese IP just being rented
- 11:44by the American company. But the new US entity
- 11:47controls algorithm security. Which likely means
- 11:50they control the safety filters, the moderation
- 11:52rules, but the core mathematical model. We just
- 11:55don't know. I suppose from a user perspective,
- 11:58as long as the feed works, they won't care. But
- 12:00from a sovereignty perspective, that distinction
- 12:02matters. A lot. It matters immensely. And speaking
- 12:06of politics, we should touch on the context here
- 12:08because this is a rare moment of Well, bipartisan
- 12:12alignment. Yeah, let's look at the timeline.
- 12:14This wasn't just one administration's project.
- 12:16Not at all. If we look at the facts, former President
- 12:18Biden signed the law back in 2024 that required
- 12:22this divestiture. He set the clock ticking. And
- 12:25then President Trump issued the executive order
- 12:27that set the final deadline for today. And he
- 12:30declared that this specific deal meets the requirements.
- 12:33So Biden signed the law. Trump enforced the deadline
- 12:35and approved the buyer. It's a continuation of
- 12:38policy across two very different administrations.
- 12:41It really underlines how serious the U .S. government
- 12:43was about the data security side of things. They
- 12:46were willing to push this right to the brink.
- 12:48Have we heard anything from the companies themselves
- 12:50today? Usually with a deal this big you get a
- 12:52flood of press releases, victory laps. Surprisingly
- 12:56little. The sources say that Oracle The White
- 12:59House, Silver Lake, and even the Chinese embassy
- 13:02did not immediately respond to requests for comment.
- 13:07Silence speaks volumes, doesn't it? It really
- 13:09does. It suggests this was a grind right up to
- 13:12the finish line. They probably just want to get
- 13:14the ink dry and move on without rocking the boat.
- 13:16So let's bring this back to the listener. What
- 13:18does this mean for the average person listening
- 13:20right now? Well, if you're a parent, it means
- 13:23your kids aren't going to wake up tomorrow with
- 13:24their favorite app gone. If you're a small business
- 13:27that uses TikTok for marketing, you don't have
- 13:29to scramble for a new strategy. It's stability.
- 13:32Stability is good. You know, thinking about this
- 13:34new joint venture, it really highlights how interconnected
- 13:37everything is. You have US heavyweights, a UAE
- 13:40AI firm, and the original Chinese creators all
- 13:43bound together in one American company. It's
- 13:45a complex web. And having Oracle involved is
- 13:49significant for the infrastructure side. Project
- 13:52Texas, that plan to move all U .S. data to Oracle
- 13:55servers, is now permanent. And Silver Lake, they're
- 13:58not in this to lose money. Definitely not. They
- 14:01see value. And at a $14 billion valuation, if
- 14:04that holds, they're betting that TikTok's growth
- 14:08in the U .S. isn't over yet. It'll be interesting
- 14:10to see if the user experience changes. You mentioned
- 14:13the board controls content moderation now. That's
- 14:15a key point. With a majority American board,
- 14:19will we see shifts in what's allowed or boosted?
- 14:22Will the for you feed feel different in six months?
- 14:25That's something we'll have to watch. Well, it's
- 14:27certainly a historic day for the internet. The
- 14:29app that changed video is officially staying
- 14:31put. It is. And it's a reminder that even in
- 14:34a digital world, borders and regulations still
- 14:36matter. That is a deep thought for a Thursday
- 14:39morning. Before we wrap up, we have to mention
- 14:41our second partner who helps keep this show going.
- 14:44That's right. We want to talk about Skone. We
- 14:45talked about the winter weather, but let's think
- 14:47positive thoughts about spring golf. Yes, please.
- 14:50If you're a golfer, you know the struggle with
- 14:52shoes. They're usually stiff, uncomfortable,
- 14:56and look terrible off the course. Or they look
- 14:59like space boots, let's be honest. Sometimes,
- 15:01yes. But Skone is different. They're a premium
- 15:05golf shoe store and their stuff is incredibly
- 15:07comfortable and actually looks good. The whole
- 15:10idea is versatility. So you can wear them for
- 15:1318 holes and then go straight to lunch without
- 15:14looking like you're wearing cleats. Exactly.
- 15:17And just like with Old Glory, we have a hookup
- 15:19for you. Use the promo code SNARFL at checkout
- 15:22for 15 % off your entire purchase. You can find
- 15:25them at www .sconee .com. That's www .skoni .com.
- 15:30Treat your feet. So, just to recap the big news
- 15:33today, the TikTok ban is officially off the table.
- 15:37That's the headline. Oracle, Silver Lake, and
- 15:39their partners, including that interesting player,
- 15:41MGX, are the new stewards of the platform in
- 15:44the U .S. A major winter storm is making life
- 15:46difficult for a huge chunk of the country. Again,
- 15:49please stay safe out there, but the financial
- 15:51markets are holding steady. It's a day of mixed
- 15:53news, really. Bad weather. good market returns,
- 15:56and a resolution to one of the biggest tech dramas
- 15:58of the decade. And for real world relevance,
- 16:01this means business as usual for the millions
- 16:03of creators and businesses that rely on TikTok.
- 16:06No need to delete the app. You don't have to
- 16:08download an archive of your videos in a panic.
- 16:11You can just keep scrolling. And honestly, in
- 16:14this news cycle, business as usual is a pretty
- 16:17nice thing to hear. One less crisis to worry
- 16:19about. I couldn't agree more. Well, that wraps
- 16:22up our coverage of the big deal. We will be back
- 16:24tomorrow with our standard Morningstar lineup.
- 16:28Assuming no other apps get sold for billions
- 16:30of dollars overnight. In this environment, you
- 16:32never know. Thanks for tuning in to Connecting
